Dear Mr. Sharpe:

This is to confirm a conversation we had on December 21, 1984, in which you stated that the formation of a non-incorporated joint venture composed of three corporations, organized in the form of a partnership, is not subject to the reporting requirements of the Hart-Scott-Rodino Act. It is our understanding that your office speaks for both the Federal Trade Commission and the Department of Justice on this matter.*
