Dear Ms. Higgins:
This is in reference to the Petition of J.W. Childs Equity Partners II, L.P. for the Prior Approval of a Transaction with The Cypress Group, L.L.C. Involving The Meow Mix Company, filed by J.W. Childs ("Childs") and received August 19, 2003. Pursuant to the Decision and Order in Docket No. C-4028, Childs requests prior approval of its proposal to sell certain shares of stock to The Cypress Group LLP ("Cypress").
After consideration of Childs' Petition and other available information, the Commission has determined to approve the proposed sale as set forth in Childs' Petition. In according its approval, the Commission has relied upon the information submitted and the representations made in connection with Childs' Petition, assuming them to be accurate and complete, and upon the agreement by Cypress that it shall assume the remainder of Childs' obligation under Paragraph VI of the Decision and Order.
