Siller, Riback, and Thek: This letter responds to the Petition for Approval of Proposed Divestiture ("Petition"), that you filed on March 28, 2000, on behalf of VNU N.V. ("VNU") seeking prior approval by the Federal Trade Commission to divest VNU's Competitive Media Reporting Division (as defined in Paragraph I.C. in the above-referenced Order) to an entity owned and controlled by Taylor Nelson Sofres plc. On March 24, 2000, and on May 10, 2000, Taylor Nelson Sofres plc. filed additional information for the Commission's attention. The Order in Docket No. C-3900 requires prior Commission approval of the divestiture by VNU. After consideration of the proposed transaction as set forth in the Petition and supplemental documents, as well as other available information, the Commission has determined to approve VNU's Petition. In according its approval to this transaction, the Commission has relied upon the information submitted and representations made in connection with VNU's Petition, and has assumed them to be accurate and complete.
