Dear Mr. Sharp:

This letter is to confirm our telephone conversation of January 19, 1988, in which we discussed the proposed acquisition of 100% of the stock for approximately $3 million in cash. I told you that has approximately $18 million in assets and has greater than $100 million in assets. I also told you that has less than $25 million in annual net revenues. You told me that based upon the above information, the contemplated transaction is exempt form the requirements of the Hart-Scott-Rodino Antitrust Improvements Act of 1976 pursuant to 16 C.F.R. 802.20, no filing is required pursuant to 16 C.F.R.802.8.
