Dear Mr. Kaplan:

This is to confirm our telephone conversation of today in which you informed me that the Federal Trade Commission will not challenge as violative of the Hart-Scott-Rodino Antitrust Improvements Act of 1976, 15 U.S.C. 18a, transactions involving the affiliation of an Alaska Native Corporation in accordance with section 60(b)(5) of the Deficit Reduction Act of 1984 and section 1804(e) of the Tax Reform Act of 1986 which are consummated without providing the notification required under the Act.
