Dear Mr. Sharpe:

I am writing this letter to confirm our conversation of Tuesday, April 22, 1986. You will recall that in that conversation I informed you that (redacted) filed a Premerger Notification and Report Form in connection with the acquisition of certain assets from (redacted) a subsidiary of (redacted). The File Reference Number for that transaction was (redacted), the Report was filed and the waiting period began on November 27, 1985.

This initial filing was made on the

version of the Notification and Report Form with the 9/84" revision date in the lower left-hand corner. In accordance with our conversation of April 22, (redacted) plans to use the same version of the form that it used in the initial filing on November 27, 1985.
