Re: Softsearch Holdings, Inc., and Geoquest International Holdings, Inc. - Docket No. C-3759

Dear Mr. Pfunder:

On July 28, 1997, the Commission made final the proposed consent order in the above captioned matter (the "Order"). HPDI has withdrawn from consideration as a licensee of the Dwight's data and, therefore, Dwight's Energydata, Inc./Petroleum Information Corporation may not divest the specified data to HPDI.

Accordingly, pursuant to Paragraph III.A. of the Order, the Commission has appointed Ben C. Burkett, II, to serve as trustee to effect the divestiture required by Paragraph II of the Order. The Commission also has approved the Trustee and Marketing Agreement, which is attached as Exhibit B to the Order. Respondents have ten days from the receipt of this letter to execute the Trustee and Marketing Agreement to transfer to Mr. Burkett all rights and powers necessary to effect the divestiture required by the Order.
