Dear Dana:

This letter will confirm our phone conversation this after-

noon. You informed me that an informal review of your records

revealed that the waiting periods required by Section 7a(B)(1) of

the Clayton Act, 15 U.S.C. Section 18a(b)(1) concerning the pro-

posed acquisition by ( redacted ) of certain

voting securities of ( redacted ) has expired

and that it wash not the practice of the Federal Trade Commission

to give any notice of such expiration other than the notice we

received on January 5, 1993.
